Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website saturnads.com and the services provided by Saturnads LLC(“Saturnads”, “we”, “us”), a Florida limited liability company with a principal office at 11620 NW 1st Avenue, Miami, FL 33168, United States.

By accessing our website or entering into an Insertion Order, Publisher Agreement or Advertiser Agreement with us, you agree to be bound by these Terms.

1. Definitions

• Network — the Saturnads affiliate network, including our owned traffic sources (email and SMS lists) and publisher network.
• Advertiser — a company purchasing traffic or conversions through the Network on a CPA, CPL, CPS or CPM basis.
• Publisher — a third-party partner promoting Advertiser offers through the Network.
• Offer — a specific advertising campaign made available on the Network.

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. The Network is not open to individuals or entities located in jurisdictions where such activity is prohibited by law.

3. Acceptable use

Publishers and Advertisers agree they will not, and will not permit any third party to:

• Send unsolicited commercial email or SMS in violation of applicable law.
• Use incentivized, adult, malware-adjacent or illegally sourced traffic.
• Engage in cookie stuffing, iframe injection, forced clicks or fraudulent conversions.
• Represent themselves as Saturnads or an Advertiser without written authorization.
• Bid on trademarked terms of Advertisers except where explicitly permitted.

Saturnads reserves the right to reject or terminate any Offer, Publisher or Advertiser account for violations of this section, with or without notice.

4. Compensation and payouts

Publisher compensation is defined in the applicable Offer or Insertion Order. Standard payout terms are Net-15 or Net-30in USD, subject to a minimum payout threshold and to Saturnads’ fraud-review process. Amounts attributable to invalid, duplicate or reversed transactions may be withheld or clawed back.

5. Advertiser billing

Advertisers are billed on the schedule set out in the applicable Insertion Order (typically monthly, Net-15). Undisputed invoices not paid within 30 days accrue interest at 1.5% per month or the maximum allowed by law, whichever is less.

6. Intellectual property

Advertisers grant Saturnads and Publishers a non-exclusive, royalty-free license to display Advertiser trademarks, creative assets and copy solely for the purpose of promoting the applicable Offer through the Network. All other rights are reserved. Saturnads’ own marks, logos and website content are the exclusive property of Saturnads.

7. Compliance

All parties will comply with applicable laws, including without limitation the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, the CTIA Messaging Principles, the FTC Act, the California Consumer Privacy Act (CCPA/CPRA) and the General Data Protection Regulation (GDPR) where applicable.

8. Disclaimers and limitation of liability

The Network is provided on an “as is” and “as available” basis. Saturnads makes no warranties, express or implied, regarding conversion rates, EPC, payback periods or campaign profitability. To the fullest extent permitted by law, Saturnads’ aggregate liability for any claim arising out of these Terms will not exceed the amounts paid to or by the claimant during the twelve (12) months preceding the claim, and Saturnads will not be liable for any indirect, incidental, consequential or punitive damages.

9. Indemnification

Each party will indemnify and hold the other harmless from any third-party claim arising out of that party’s breach of these Terms, violation of law or infringement of third-party rights.

10. Termination

Either party may terminate for convenience on 30 days’ written notice, or immediately for material breach that remains uncured after 10 business days’ notice. Sections that by their nature should survive termination will do so.

11. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles. Any dispute arising out of these Terms will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida.
